1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kunming Jianzhe Network Technology Co., Ltd. ("Company," "we," "us," or "our") concerning your access to and use of our website www.jianzhe.icu and our services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Services Description

Kunming Jianzhe Network Technology Co., Ltd. provides custom computer programming services, system design, technical consulting, and related professional IT services. Our services include but are not limited to:

3. User Accounts and Registration

3.1 Account Creation

To access certain features of our services, you may be required to create an account. You agree to:

• Notify us immediately of any unauthorized use

3.2 Account Termination

4. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Kunming Jianzhe Network Technology Co., Ltd. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

4.2 Custom Development Work

For custom development projects, intellectual property rights will be governed by separate written agreements. Unless otherwise specified in writing:

• Client retains ownership of their proprietary business information and data
• We retain ownership of our pre-existing tools, frameworks, and methodologies
• Ownership of custom-developed deliverables will be transferred upon full payment

5. Payment Terms

5.1 Fees and Pricing

Fees for our services will be specified in project proposals, service agreements, or invoices. All fees are in Chinese Yuan (CNY) unless otherwise specified.

5.2 Payment Schedule

Payment terms will be outlined in individual service agreements. Standard terms include:

• Initial deposit required before project commencement
• Milestone payments as specified in project agreements
• Final payment due upon project completion and delivery
• Monthly or annual billing for ongoing services

5.3 Late Payments

Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend services for accounts with overdue payments.

6. Service Level and Warranties

6.1 Service Standards

We commit to providing services with professional care and skill in accordance with industry standards. Specific service levels will be defined in individual service agreements.

6.2 Warranty Disclaimer

Except as expressly stated in writing, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
• We are not liable for delays or failures due to circumstances beyond our reasonable control

8. Confidentiality

8.1 Confidential Information

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship.

8.2 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach of this agreement
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed without use of confidential information
• Must be disclosed pursuant to legal requirements

9. Client Responsibilities

Clients agree to:

• Provide timely access to necessary information, systems, and personnel
• Respond promptly to requests for feedback and approvals
• Ensure accuracy of provided information and requirements
• Maintain appropriate backups of their data
• Comply with all applicable laws and regulations

10. Termination

10.1 Termination by Either Party

Either party may terminate services upon written notice as specified in the service agreement. Standard notice periods range from 30 to 90 days depending on the service type.

10.2 Immediate Termination

We may immediately terminate services if:

• You breach these Terms or service agreements
• You fail to make required payments
• You engage in illegal or harmful activities
• Continuation would violate applicable laws

10.3 Effect of Termination

Upon termination:

• All outstanding fees become immediately due
• We will provide final deliverables as specified in agreements
• Each party will return or destroy confidential information
• Provisions intended to survive termination will remain in effect

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.

11.2 Dispute Resolution Process

In the event of any dispute:

• Parties will first attempt to resolve through good faith negotiations
• If unresolved within 30 days, disputes may be submitted to mediation
• Unresolved disputes shall be subject to the jurisdiction of courts in Kunming, Yunnan Province

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or website notice. Continued use of services after changes constitutes acceptance of modified Terms.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any service agreements and policies referenced herein, constitute the entire agreement between you and the Company.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
